Legal Experience
Charlie has been helping families and regional businesses solve estate planning, tax and business issues since 1982. These matters often involve complex federal and state tax issues.

Charlie's business clients range from startups to established industry leaders. He represents business owners and entities in connection with business sales and acquisitions, licensing arrangements, tax-free acquisitive mergers, corporate restructuring, and the design of employment and nonqualified deferred compensation arrangements for owners, executives and key managers.

Charlie also designs estate plans, in many instances for clients whose estates present unique challenges. Much of this legal work involves developing strategies that meet client and extended family needs while minimizing or eliminating federal and state estate and generation-skipping taxes. In addition, Charlie handles the transfer of closely-held business interests between generations, provides legal and administrative services for probated estates and trusts, and represents clients who need to invoke Washington's TEDRA procedures to restructure trust and other arrangements which have become problematic.

Representative Matters
  • Regularly advises clients concerning the design of business entities, exit strategies, and employment and deferred compensation arrangements, including those subject to the IRC Sec. 409A deferred compensation rules
  • Designs estate plans for clients in settings involving serious gift and estate tax issues as well as business succession issues
  • Serves as general counsel to manufacturing and technology companies
  • Designs ownership and compensation arrangements for physicians and others seeking to form professional service entities
Personal
Charlie lives in Edmonds with his wife, Julie, and two children, Kathryn and John. When not in the office, Charlie likes to head for the outdoors with his family. In addition to hiking and camping, he enjoys steelhead fishing, particularly expeditions in early winter to northern British Columbia.
